RCV Club By-Laws
Article I

Membership

Section 1. Qualification for Membership

The members of this club shall consist of Volkswagen owners and enthusiasts.

Section 2. Admission to Membership

All applications for the membership of this club shall be made in writing to the RCP (Rose City Volksters) and shall be handled by the management staff of the RCV. Each application must include the name, address and telephone number of the applicant. Membership application must be accompanied with the first year membership dues. At the time the dues are accepted the applicant becomes a member of RCV and is thereby bound by the by-laws and constitution of RCV.

Section 3. Exercise of Individual Member Rights

Any person who has joined the RCV may hold any office in the organization, but only one (1) office at any one time, may serve as a Committee Chairperson, be a member of a committee and may take part in any RCV sponsored activity. A member must be in good standing for a minimum of one (1) year before holding any of the Management Staff offices. When participating in sponsored activities, members must have minimum insurance as defined by the State of Oregon. Failure to do this will result in immediate termination of membership. RCV will have no responsibility in the event of failure to maintain insurance.

Section 4. Membership Dues

Each member shall be assessed annual dues of such sum of money as may from time to time be determined by the Management Staff. Dues shall be charged upon anniversary of membership and are delinquent if not paid within 30 days thereafter. A member delinquent in the payment of dues shall automatically be removed from the roster of RCV.

Section 5. Regular Meetings of the Membership

The membership of the RCV shall hold regular meetings on the second Tuesday of each month throughout the calendar year at such time and place as determined by the popular vote of the membership.

Section 6. Termination of Membership

Membership with the RCV may be terminated by a member at any time by submission to the Management Staff a written resignation. Membership may also be terminated by the two-thirds vote of the membership present at a regular meeting in the event of behavior unbecoming of a member of RCV.

Article II

Management Staff

Section 1. Qualification of Staff

A. The Management Staff of the RCV shall consist of the officers of the club. The number of members of the Management Staff may vary between a maximum of six (6) persons and a minimum of three (3) persons. The exact number of staff within such maximum and minimum shall be fixed from time to time by resolution of the membership by popular vote.

B. The Management Staff shall have charge of the general business affairs of the club.

Section 2. Quorum and Vote

A. A majority of officers is required as a quorum for the conduct of RCV business. Each officer shall have one (1) vote. A majority of officers in attendance at a meeting at which there is a quorum shall be sufficient for all business coming before the Management Staff, except that all officers present at the business meeting must approve a motion to donate funds of the club outside of budgeted items or expenditure of any other funds for outside budgeted items.

B. If the President or a majority of the Management Staff in attendance at a regular meeting determine that a motion or resolution includes one or more matters calling for future deliberation, the vote on the motion or resolution shall be postponed until the staff members shall have had time within which to submit such motion or resolution to the determination of the staff members at a regularly scheduled staff meeting.

Section 3. Meetings of Management Staff

A. Regular Meetings

The Management hall hold regular meetings on the first Monday following a regular meeting of the membership throughout the calendar year at such time and place as the Staff deems advisable.

B. Special Meetings

The President is authorized to call special meetings of the Management Staff upon giving each officer prior written notice of the purpose for calling the meeting and setting forth the time and place of the meeting.

C. "Roberts Rules of Order" shall govern the proceedings of the organization except as provided by these By-Laws.

D. Fiscal year for the organization shall be from November 1 to October 31.

Article III

Officers

Section 1. Designation

The officers of the RCV shall be a President, a Vice-President, a Secretary, a Treasurer, an Activities Director, and an Under-Secretary. Each officer shall be elected to office by the membership of the RCV and each officer must be a member in good standing of the RCV for a period of one (1) year prior to eligibility for election to office. Each officer shall serve for a term of one year or until his successor is elected and qualified.

Section 2. Nomination and Election of Officers

A. Nomination for officers of the Rose City Volksters will be made at the regular club meetings in the month of August. The election of the officers shall be conducted by ballot at the October meeting of the membership.

B. Vacancies in office shall be filled by appointment by the president and popular vote of the membership.

Section 3. President

The President shall be the presiding officer and chief executive of the RCV and shall preside at all meetings of the membership and Management Staff. The President shall sign all contracts, promissory notes and other obligations of the RCV in accordance with the directions of the membership and management Staff.

Section 4. Vice President

The Vice-President shall preside at all meetings in the absence of the President, shall work with the President at his request on internal matters. The Vice-President shall maintain the membership roster.

Section 5. Secretary

The secretary shall have the custody of the official records of the RCV and shall attest all contracts and other instruments signed by the President as directed by the management Staff. The secretary shall deliver a copy of the minutes of the meetings to each staff member and mail a copy to those staff members not attending. Secretary shall also be responsible for the publication and distribution to the members of the newsletter, "Semaphore".

Section 6. Treasurer

The Treasurer shall be responsible for the funds of the RCV and shall keep the financial records and books of account thereof, and he/she shall disburse from the general fund only as directed by Management Staff. The Treasurer shall give in detail semi-annual or at such other times as the management Staff shall require, a statement of the financial condition of the club. Two signatures of the Management Staff shall be required for disbursement of funds.

Section 7. Activities Director

The Activities Director shall make arrangements for all events planned by the membership including the location, meal to be served, trophies to be awarded and entertainment if any.

Section 8. Under-Secretary

The Under-Secretary shall assist the secretary with correspondence to other clubs and organization as deemed necessary.

Article IV

Committees

Section 1. Committees

In the event of the need of such special committees, the members of that committee shall be appointed by the President and/or Management Staff.
